Job Description
 

The role of Deal Execution is principally to provide transaction management support to the Relationship Managers within the wider GRG Real Estate team however the key responsibilities of the Deal Execution personnel can be summarised under the following headings:

  • Transaction support and execution
  • Managing the secondees from professional advisory firms
  • Deal Execution work allocation
  • Managing relationships with key professionals
  • Arranging training for the wider GRG RER team, and maintaining Deal Execution documentation

    • Requirements
      Deal Execution personnel need to be adaptable- The transaction support role can differ from case to case depending on the circumstances- Ultimately the role requires Deal Execution personnel to successfully progress all deal execution aspects of the relevant structure, act in a timely and dedicated manner with attention to detail and have a good understanding of complex transaction structures-


        Responsibilities
        Transaction support and execution
          The list below is not intended to be an exhaustive list of the work streams which fall under the heading of transaction support but is intended to give the candidate a flavour of the work typically undertaken by Deal Execution personnel-  
        •  Review of transaction documentation to provide initial advice on the meaning of the provisions therein and advising on the options available to RBS in terms of restructuring solutions including advising on corporate debt structures;
        • Interaction with syndicate banks often with RBS being in a lead bank role;
        • Advising the GRG RER team on loan and intercreditor provisions and their impact on any proposed restructuring options;
        • Instructing third party professionals including drafting instruction letters detailing scope of instructions; for example IBRs, valuations and security reviews;
        • Review of reliance and addressee language to ensure reflective of RBS standard and parties involved; Checking confidentiality provisions and terms and conditions of third party professional advice including reviewing any limitation on liability and professional indemnity insurance;
        • Analysing security reviews to advise on what (if any) further steps are required to improve and/or perfect the security package;
        • Advising on the enforcement options relating to the restructuring options being considered by the GRG Real Estate team;
        • Review, analyse and negotiate the documentation (on instructions from the relevant Relationship Manager) which will include finance documentation, sale and purchase agreements and lease documents, with both clients and appointed solicitors, to protect RBS;
        • Liaising with relevant teams within RBS on profit participation agreements;
        • Review of title reports, valuations, surveys and environmental reports together with analysis and review of tax, regulatory and accounting advice and advising on the implications to the proposed restructure;
        • Ensuring due diligence is satisfactorily completed and conforms with scope of agreed instructions;
        • Acting as a liaison point with regard to Group Legal and external lawyers; and Compliance with GRG Policy Guidelines-


          The Individual
          • Analyse and advise on legal security reviews
          • Review of title reports;valuations; surveys and environmental reports, together with analysis and problem solving of tax, regulatory and accounting issues that may impact the deal, and feedback issues and salient points to the relevant Relationship Manager
          • Completion of loan/equity and lease documents and SPAs
          • Ensuring restructures are documented in line with GRG Policy Guidelines and that a consistent approach to documentation is being adopted within the wider GRG RER team
          • Managing professional secondees including work allocations, and monitoring Deal Execution capacity Managing relationships with professional advisers
          • Liaising with Relationship Managers, professionals and clients
          • Strong understanding/experience of real estate and real estate finance - with particular regard to skills/experience necessary to carry out Specific Responsibilities (see above)
